These Terms of Use (“Terms”) govern the use of the online assessment tool,  which includes the Free Sustainability Score, Online Assessment, and Sustainable Tourism Criteria (“Tool”) made available to businesses by GreenStep Solutions Inc. (“we,” “us,” or “our”). By accessing or using the Tool, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Tool.

1. License to Use

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Tool for the sole purpose of conducting assessments within your business. This license explicitly excludes any commercial use, resale, or exploitation of the Tool or its content for financial gain.

2. User Conduct

You agree to use the Tool in accordance with all applicable laws and regulations. You are solely responsible for the content you upload, share, or otherwise make available through the Tool. You shall not use the Tool for any unlawful or prohibited purpose, including but not limited to:

• Violating any applicable laws or regulations.
• Impersonating any person or entity.
• Uploading or transmitting malicious code or harmful data.
• Engaging in any activity that disrupts, interferes with, or harms the Tool or its functionality.

3. Data Privacy

We take data privacy seriously. Any data collected through the Tool will be handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Tool, you consent to collecting and using your data as described in the Privacy Policy.

4. Copyright Protection

The assessment and its contents are protected by registered copyright owned by GreenStep Solutions Inc. You agree not to reproduce, distribute, modify, or create derivative works based on the assessment or its contents without our explicit written consent.

5. Modifications to the Tool

We reserve the right to modify, suspend, or discontinue the Tool, or any part thereof, at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Tool.

6. Termination

We may terminate your access to the Tool at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Tool, us, or third parties, or for any other reason.

7. Disclaimer of Warranties

The Tool is provided “as is” and “as available” without any warranties of any kind, whether express or implied. We do not warrant that the Tool will be error-free or uninterrupted, or that defects will be corrected.

8. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Tool; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of the Tool; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Tool by any third party.

9. Indemnification

You agree to defend, indemnify and hold us and our affiliates harmless, and our officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Tool, including, but not limited to, your User Contributions, any use of the Tool’s content, or our other services and products or your use of any information obtained from our website.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.
